These Terms and Conditions apply when you submit an idea, proposal, concept or creative project to What Does Not LTD through this website, form, email, social media, direct message or any other submission channel.

For the purposes of these Terms, “What Does Not”, “we”, “us” and “our” means What Does Not LTD, a company registered in England and Wales.

About This Open Call

What Does Not invites artists, musicians, DJs, makers, designers, collectives, chefs, food pop-ups, performers, independent brands and other creatives to submit ideas for possible inclusion at our events.

We are looking for concepts that can exist inside, around or alongside What Does Not events, including pop-ups, performances, DJ sets, installations, food concepts, workshops, product drops, showcases, live experiences, brand activations, talks, screenings, tastings, markets or other creative formats.

Submitting an idea does not guarantee that your concept will be selected, produced, funded, promoted, developed, booked or included in any What Does Not event.

We reserve the right to accept, reject, shortlist, pause or decline any submission at our sole discretion.

Eligibility

You must be at least 18 years old to submit an idea.

By submitting, you confirm that:

  • you are legally able to take part in this submission process;

  • all information you provide is accurate and complete;

  • you have the right to submit the idea, materials, images, links, references and supporting information provided;

  • your submission does not infringe the rights of any third party;

  • your concept can be delivered safely, lawfully and professionally if selected;

  • you are not submitting anything confidential unless you have clearly told us in advance and we have agreed in writing to treat it as confidential.

If you submit on behalf of a collective, brand, company, partnership or group, you confirm that you have authority to do so.

Your Submitted Idea

You retain ownership of any intellectual property rights you already own in your original submitted materials, including your artwork, music, images, designs, branding, written materials, product concepts, recipes, menus, performances, recordings or other protected creative work.

By submitting your idea, you grant What Does Not a non-exclusive, royalty-free, worldwide licence to review, assess, store, copy, internally share and discuss your submission for the purpose of considering it for What Does Not events, programming, collaborations and future opportunities.

This licence allows us to share your submission internally and with trusted people involved in reviewing, programming, producing or delivering our events, including our team, venues, production partners, contractors, advisers and collaborators.

This does not mean we own your submitted creative work.

If your idea is selected, any public use of your name, brand, artwork, music, images, likeness, project description or other creative materials will be discussed with you before public promotion or event delivery, unless otherwise agreed in writing.

WHAT DOES NOT - Intellectual Property

All intellectual property owned, created, developed, commissioned, used or controlled by What Does Not remains the sole property of What Does Not or its licensors.

This includes, without limitation:

  • the name What Does Not;

  • What Does Not logos, marks, slogans, taglines, visual identity and brand assets;

  • event names, series names, campaign names and project names;

  • original copy, photography, video, graphics, artwork, layouts, websites and promotional materials;

  • event formats, programming structures, experience designs, creative direction, production concepts and audience journey concepts;

  • stage, room, venue, installation, activation and pop-up formats developed by What Does Not;

  • internal methods, templates, briefs, decks, documents, processes, supplier lists, production plans, programming frameworks and know-how;

  • any confidential or proprietary information shared by What Does Not.

You must not copy, reproduce, adapt, imitate, use, register, publish, exploit or create derivative works from any What Does Not intellectual property without our prior written permission.

Submitting an idea, being shortlisted, being selected, attending a meeting, taking part in an event or collaborating with us does not give you any ownership of, or rights to use, What Does Not intellectual property.

Where we give you access to any What Does Not materials for a specific event or collaboration, we grant you only a limited, temporary, revocable permission to use those materials strictly for the agreed purpose. That permission ends automatically when the relevant event, project or collaboration ends, unless we agree otherwise in writing.

WHAT DOES NOT - Event Formats

You acknowledge that What Does Not creates, develops and operates its own event concepts, formats, programming models, creative structures, audience experiences, venue uses, production approaches and cultural frameworks.

These event formats and related materials are part of What Does Not’s creative and commercial property.

You must not copy, reproduce, recreate, reverse-engineer, imitate or commercially exploit any What Does Not event format, event structure, programming concept, production model or branded experience without our prior written permission.

This clause does not stop you from continuing to develop your own independent work, practice, brand, art, music, food concept, product or creative career. It is intended to protect the distinctive formats, structures, branding, creative direction and event concepts developed by What Does Not.

Non-Circumvention and Protection of What Does Not

You acknowledge that What Does Not has developed its own event formats, creative direction, programming structures, audience experiences, brand world, production methods, partner relationships, venue relationships, supplier relationships and commercial opportunities.

If you are shortlisted, selected, invited to a meeting, introduced to any What Does Not venue, partner, sponsor, supplier, collaborator, brand contact, artist, performer, creative, contractor or other third party, you agree that you will not use that access to bypass, exclude or undermine What Does Not.

For a period of 12 months from the date of your submission, meeting, selection, event participation or last material contact with What Does Not, whichever is later, you must not, without our prior written consent:

  • directly recreate, copy, imitate or commercially exploit any distinctive What Does Not event format, programming structure, production concept, audience journey, activation model, branded experience or creative framework;

  • approach, solicit, contract with or enter into a competing arrangement with any venue, sponsor, brand partner, supplier, collaborator or commercial contact introduced to you by What Does Not in relation to the same or a substantially similar event, activation, pop-up, collaboration or opportunity;

  • use confidential information, production information, pricing information, creative briefs, internal documents, supplier details, venue details, programming plans or commercial information shared by What Does Not for any purpose outside the specific opportunity agreed with us;

  • present yourself, your brand, collective, business or project as being part of, endorsed by, employed by, commissioned by or officially connected to What Does Not unless we have approved this in writing;

  • use What Does Not’s name, reputation, event formats, relationships or materials to obtain work, venues, sponsors, partners, investment, bookings or commercial opportunities for yourself or any third party without our written permission.

This clause does not prevent you from continuing your own independent creative work, performing at other events, selling your products, running your own projects, working with other brands, venues or collaborators, or developing ideas that are genuinely independent of What Does Not.

This clause is intended only to protect What Does Not’s legitimate business interests, including its intellectual property, confidential information, event formats, goodwill, commercial relationships and creative investment.

Similar Ideas and Existing Development

You understand that What Does Not may receive multiple submissions with similar themes, formats, concepts, aesthetics, structures or creative approaches.

You also understand that What Does Not may already be developing, discussing, programming, producing or considering events, collaborations, pop-ups, activations, performances or installations that are similar to your submission.

Submitting an idea does not prevent What Does Not from developing, producing, commissioning, programming or accepting similar ideas, provided we do not unlawfully copy your protected intellectual property.

You agree that you will not make any claim against What Does Not solely because we develop, produce or host an event, activation, pop-up, collaboration or creative concept that is similar in theme, category, format, energy, audience or general idea to something you submitted.

Selection Process

Submissions may be reviewed based on creative fit, originality, feasibility, audience relevance, venue suitability, safety, timing, cost, licensing requirements, technical requirements, brand fit, production needs and event programming priorities.

We are not required to provide feedback, reasons for rejection or updates on the status of any submission.

If your idea is shortlisted, we may contact you to discuss the concept further. Shortlisting does not guarantee final selection.

No booking, performance, pop-up, installation, activation, collaboration or event participation is confirmed until agreed by What Does Not in writing.

Event Participation

If your idea is selected, participation will be subject to separate written agreement on relevant details, which may include:

  • event date and location;

  • setup and breakdown times;

  • allocated space;

  • technical requirements;

  • sound, power, lighting or equipment;

  • fees, payment, expenses, contra arrangements or revenue share;

  • promotion and marketing;

  • insurance;

  • licences, permits and venue approvals;

  • health and safety requirements;

  • risk assessments;

  • staffing and crew;

  • food hygiene, allergen and safety requirements, where relevant;

  • cancellation terms;

  • any other event-specific conditions.

Marketing, Branding and Promotion

What Does Not is not a platform for aggressive, excessive or interruptive marketing.

If your idea is selected, all branding, signage, sampling, selling, content capture, promotional activity, product placement, sponsor visibility and marketing materials must be approved by What Does Not in advance.

We may allow subtle and minimal brand presence where appropriate, including small logos, menus, product labels, social handles, credits or other discreet references. We reserve the right to refuse, reduce, remove or amend any branding, signage, promotional material or marketing activity that we consider too prominent, inappropriate, disruptive, off-brand or inconsistent with the ethos of What Does Not.

You must not use the event primarily as a platform for hard selling, lead generation, data capture, aggressive sampling, unsolicited promotion, audience harassment or any other marketing activity that we consider intrusive.

Selection for an event does not create any obligation for What Does Not to promote you, your brand, your product, your project or your participation. Any promotion by What Does Not, including social media posts, website listings, email features, press mentions, ticketing copy, photography, video, tags, credits or announcements, is at our sole discretion unless agreed otherwise in writing.

You must not announce, advertise or promote your involvement in a What Does Not event until we have approved it in writing.

Costs and Payment

For the avoidance of doubt, selection for an event does not automatically create any right to payment. Any payment or commercial arrangement must be agreed by What Does Not in writing before the event.

Unless agreed otherwise in writing, you are responsible for all costs involved in preparing and submitting your idea.

Submission of an idea does not create any right to payment, reimbursement, expenses, commission, revenue share, booking fee or compensation.

If your idea is selected, any financial arrangement will be agreed separately before the event.

No one is expected to commit to taking part in an event without the commercial terms being discussed and agreed.

Food, Drink and Regulated Activities

If your idea involves food, drink, alcohol, sampling, selling goods, physical activity, amplified sound, performance, installation, public interaction, workshops, cooking, heat, electrical equipment, structures or any regulated activity, you may be required to provide relevant documentation before approval.

This may include, where applicable:

  • public liability insurance;

  • employer’s liability insurance, where required;

  • food hygiene documents;

  • allergen information;

  • risk assessments;

  • method statements;

  • licences or permits;

  • product safety information;

  • equipment specifications;

  • electrical safety documentation;

  • staff training records;

  • age-restricted sales procedures;

  • any documents required by What Does Not, the venue, local authority, insurer, licensing authority or applicable law.

We reserve the right to reject, pause, change or cancel any idea that does not meet legal, safety, venue, licensing, insurance or operational requirements.

Safety and Conduct

If selected, you agree to deliver your concept safely, respectfully and professionally.

You must not submit or deliver any idea that is unlawful, unsafe, discriminatory, hateful, abusive, sexually exploitative, defamatory, infringing, misleading or likely to cause harm.

You must comply with all reasonable instructions from What Does Not, the venue, security, production staff, event staff and relevant authorities.

We reserve the right to remove, cancel or stop any participant, installation, performance, pop-up, activation or collaboration that we consider unsafe, inappropriate, damaging to the event, damaging to the venue, unlawful or inconsistent with the values of What Does Not.

Promotion and Publicity

If your idea is selected, we may ask you to provide images, logos, bios, descriptions, social handles, links or other promotional materials.

You confirm that any promotional materials you provide are either owned by you or cleared for use by What Does Not.

Subject to agreement, you grant What Does Not permission to use your name, brand name, social handle, image, likeness, submitted content, project description and approved promotional materials to promote the relevant event across websites, social media, email, press, printed materials, ticketing pages, advertising and other marketing channels.

Unless agreed otherwise, you must not use What Does Not’s name, logos, marks, event names, photography, video, brand assets or promotional materials for your own marketing beyond promoting your approved involvement in the specific event.

Photography, Filming and Event Content

What Does Not events may be photographed, filmed, recorded or documented.

If your idea is selected and forms part of an event, we may capture or commission photography, video, audio and other content of the event, including your installation, performance, pop-up, activation, products, setup, team and audience interaction.

Unless otherwise agreed in writing, What Does Not may use event documentation for archival, editorial, promotional, social media, press, website, pitch, recap, internal and commercial purposes connected to What Does Not and its events.

If your work includes third-party rights, music, performers, models, collaborators, brands or copyrighted material, you are responsible for telling us in advance and making sure the required permissions are in place.

Confidentiality

You should not submit confidential information, trade secrets or sensitive commercial information through the form.

While we will treat submissions with care, we cannot guarantee that ideas submitted through an open call will remain confidential.

If your concept requires confidentiality before further discussion, you must state this clearly in your submission. We are not bound by confidentiality unless we expressly agree to it in writing.

Any confidential or proprietary information shared with you by What Does Not must be kept confidential and must not be copied, shared, disclosed or used for any purpose other than the specific discussion, event or collaboration for which it was provided.

Data and Privacy

We will use the personal information you provide to review your submission, contact you about your idea, manage event opportunities, assess suitability, communicate with you and keep records of submissions.

Your information may be stored and processed by What Does Not and by trusted service providers used to manage forms, communications, event planning, ticketing, marketing, operations or production.

You should not submit personal data about other people unless you have their permission to do so.

Accuracy of Information

You agree that all information submitted is accurate to the best of your knowledge.

If your contact details, availability, requirements, certifications, insurance, permissions, licences, safety information or concept details change after submission, you must notify us as soon as possible.

We are not responsible for missed opportunities, delays, cancellation or rejection caused by incorrect, incomplete or outdated information.

No Employment, Agency or Team Relationship

Submitting an idea, being shortlisted, being selected or taking part in a What Does Not event does not make you an employee, worker, agent, representative, partner, joint venture partner, franchisee, contractor on retainer or member of the What Does Not team.

You are not authorised to represent What Does Not, speak on behalf of What Does Not, enter into agreements for What Does Not, use What Does Not materials outside the approved event context, or describe yourself as part of the What Does Not team unless we have expressly agreed this in writing.

Any participation is limited to the specific event, opportunity or collaboration agreed in writing.

No payment, fee, expenses, commission, reimbursement, revenue share, contra arrangement or other compensation will be owed unless expressly agreed by What Does Not in writing before the relevant event or collaboration.

Where payment, revenue share, product sales, contra, participation fees or other commercial arrangements apply, these will be discussed separately and must be confirmed in writing.

Nothing in these Terms creates an ongoing obligation for What Does Not to book, promote, pay, hire, commission, collaborate with or offer future opportunities to any person, brand, collective or business.

Cancellation and Changes

Events may be changed, postponed, relocated or cancelled due to venue issues, licensing requirements, safety concerns, weather, low ticket sales, supplier issues, production issues, illness, public health matters, operational reasons or circumstances beyond our control.

Unless agreed otherwise in writing, What Does Not is not liable for any costs, losses, expenses, travel, accommodation, preparation costs, materials, stock, staffing costs or lost income incurred by you in connection with a submission, shortlist, proposed collaboration or cancelled opportunity.

Liability

To the fullest extent permitted by law, What Does Not is not responsible for any loss, damage, claim, cost, expense or liability arising from your submission, your participation in the selection process, our decision not to select your idea or any similarity between your submission and any current or future What Does Not project.

If your idea is selected, liability, insurance, indemnity and risk responsibilities may be addressed in a separate agreement.

Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

Breach of These Terms

If you breach these Terms, What Does Not may reject your submission, withdraw any shortlist or selection, cancel your participation, remove you from an event, withhold promotion, revoke permission to use What Does Not materials and take any further action available by law.

Changes to These Terms

We may update these Terms from time to time.

The version published at the time of your submission will apply to that submission unless otherwise agreed in writing.

Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

Any dispute arising in connection with these Terms, your submission or the submission process will be subject to the exclusive jurisdiction of the courts of England and Wales.
